PART I. PURCHASE, SUBSCRIPTION, DELIVERY AND RETURNS TERMS

1. General provisions

1.1. These terms (the Terms) govern use of the Store, the placement of one-time orders and subscriptions, payment, delivery, withdrawal, returns and the parties' liability.

1.2. Buyer means an individual or legal entity ordering goods from the Store. Consumer means an individual entering into a contract for purposes outside their business, trade, craft or profession.

1.3. The Store sells complementary feeds, feed supplements and other pet care products (the Goods).

1.4. Before placing an order, the Buyer can review and save the Terms and correct their order details. By placing an order and clicking a button that clearly indicates an obligation to pay, the Buyer confirms that they have read the Terms and agree that they apply to the order.

1.5. The order confirmation and the version of the Terms in force when the order was placed are provided to the Buyer on a durable medium, usually by email.

1.6. The Terms do not limit consumers' mandatory statutory rights. If any provision conflicts with those rights, the applicable statutory provisions take precedence.

2. Eligibility to purchase

2.1. The following may purchase from the Store:

• Individuals aged 18 or over who have legal capacity;

• Individuals aged 14–17 with parental or guardian consent, except where such consent is not required by law;

• Legal entities and their duly authorised representatives.

2.2. The Buyer must provide accurate and complete information needed to fulfil the order. The Buyer is responsible for consequences to the extent that they result from inaccurate or outdated information provided by the Buyer.

3. Information about the Goods

3.1. The essential characteristics, purpose, ingredients, quantity, use, daily amounts, storage and safety information for the Goods are provided on the product page and/or the product label.

3.2. Product photographs are for illustrative purposes. Colours may vary slightly due to screen settings. Such minor differences are not considered a product defect.

3.3. On receiving the Goods, the Buyer must follow the information on the packaging or label. If there is a discrepancy between the Store description and the label, the Buyer should not use the Goods and should contact info@fidly.lt.

3.4. Complementary feeds and feed supplements are not veterinary medicines and are not intended to diagnose, treat or cure disease, except where a particular product is lawfully classified and labelled otherwise. They do not replace a complete feed unless the product label expressly states otherwise.

3.5. Before giving the Goods to an animal that is unwell, taking medication, pregnant or nursing, or where allergies, chronic conditions or compatibility concerns are present, consultation with a vet is recommended. If an adverse reaction occurs, stop use and contact a vet.

3.6. Individual effects may vary depending on the animal's species, breed, age, weight, health, diet and correct use. Fidly does not guarantee a particular individual result. This does not limit rights relating to the safety, quality or conformity of the Goods with their description.

4. Orders and formation of the contract

4.1. The Buyer selects the Goods, quantity, one-time purchase or subscription, delivery and payment method, and provides the information needed to fulfil the order.

4.2. An order submitted by the Buyer is an offer to enter into a sales contract. An automatic acknowledgement only confirms that the order has been received.

4.3. The contract is formed when Fidly confirms by email that the order has been accepted for fulfilment or notifies the Buyer that the Goods have been dispatched, whichever occurs first.

4.4. Fidly may decline an order if the Goods are unavailable, payment cannot be confirmed, the delivery address is outside the service area, lawful sales restrictions apply, or the stated price is an obvious technical error that the Buyer could reasonably have recognised. The Buyer will be informed, and any payment received will be refunded without delay, no later than within 14 days.

5. Prices and payments

5.1. Prices are stated in the currency displayed for the selected country and include applicable taxes. Delivery is free on all orders in our European market. Any other additional costs are shown before the order is placed.

5.2. The price stated when the order is placed applies, except for an obvious technical error as described in clause 4.4.

5.3. When a price reduction is advertised, the previous price is stated in accordance with applicable law, normally as the lowest price charged during the 30 days before the reduction, subject to statutory exceptions.

5.4. Available payment methods are shown at checkout. Payments may be technically processed by Shopify and/or other licensed payment service providers. Fidly does not normally receive or store the full payment card number, CVV or other complete card authentication details.

5.5. If payment is not received or is declined, Fidly is not obliged to dispatch the Goods. The Goods remain Fidly's property until payment has been made in full.

6. Subscriptions, automatic renewal and cancellation

6.1. This section applies when the Buyer expressly selects a subscription or another recurring delivery plan for the Goods in the Store.

6.2. Before the order is placed, the Buyer is clearly shown:

• The subscribed Goods and their quantity;

• The price of the first and subsequent payments;

• The delivery and payment frequency;

• The date of the next payment or subscription period;

• Any minimum subscription term;

• The automatic renewal and cancellation conditions.

6.3. A subscription is activated only when the Buyer expressly selects it and agrees to recurring payments. By choosing a subscription, the Buyer authorises Fidly to charge the selected payment method at the start of each new period or at another clearly stated time.

6.4. Automatic renewal. Unless the Buyer cancels, the subscription automatically renews at the end of the current period for another period of the selected plan. The length of each new period matches the frequency chosen when ordering, and the Goods continue to be sent until the subscription is cancelled.

6.5. Cancellation. To prevent the next automatic renewal and payment, the Buyer must cancel at least 48 hours before the end of the next subscription period or the next scheduled payment date. If these dates differ, the earlier date applies. The next payment date is stated in the order confirmation and/or the Buyer's account. A subscription can be cancelled:

• Through the subscription self-service module in the Buyer's account; or

• By emailing info@fidly.lt with “Subscription cancellation” in the subject line, stating the order number and the email address used for the subscription.

6.6. Cancellation is free of charge. Fidly confirms the cancellation by email. The Buyer is advised to keep this confirmation.

6.7. If the request is submitted with less than 48 hours' notice and a new payment has already been initiated or the shipment has been submitted for fulfilment, cancellation takes effect at the end of the period already started, and no further payments are taken. If payment has not been initiated and fulfilment has not begun, Fidly applies the cancellation immediately where technically possible.

6.8. Cancelling a subscription stops future automatic renewals but does not automatically cancel an order that has already been paid for or dispatched. The Consumer's right to withdraw from a distance contract within 14 days and rights relating to product quality remain in force under sections 8 and 9.

6.9. Pausing a subscription. The Buyer may request a 30-day pause at least 48 hours before the next payment. This can be done through self-service, where available, or by emailing info@fidly.lt. At the end of the 30-day pause, the subscription automatically resumes under the plan then in force unless the Buyer cancels before it resumes.

6.10. Changing the delivery address. The address for a recurring shipment must be changed through self-service or by emailing info@fidly.lt at least 48 hours before the next payment or preparation of the shipment. If the shipment has already been sent to the previous address, Fidly is not obliged to redirect it but will help resolve the situation within the carrier's capabilities.

6.11. Price and plan changes. Fidly informs the Buyer by email at least 30 days before changing the subscription price or other essential terms. Changes do not apply to a period already paid for. If the Buyer does not agree to a change, they may cancel the subscription free of charge before it takes effect.

6.12. Trial periods and special offers. Fidly may offer a free or reduced-price trial period. If the offer clearly states that a paid subscription will begin afterwards, the normal subscription price shown before ordering will be charged automatically at the end of the trial. To avoid this payment, the subscription must be cancelled at least 48 hours before the trial ends.

6.13. Unless expressly stated otherwise, a special discount applies only to the first subscription payment. Subsequent payments are charged at the normal price clearly stated before ordering.

6.14. If a payment fails, Fidly may retry the payment and/or suspend the shipment after informing the Buyer. No charge is made for Goods that have not been dispatched and supplied to the Buyer, except for reasonable costs of an order already properly fulfilled.

7. Delivery

7.1. Delivery is free on all orders in our European market and takes 1–3 working days. Available delivery methods, service areas, estimated times and any other applicable delivery details are stated in the Store or at checkout.

7.2. Unless otherwise agreed, Fidly delivers the Goods no later than 30 days after the contract is formed. Any shorter stated period is an estimate unless it has expressly been agreed to be an essential term of the contract.

7.3. The risk of accidental loss of or damage to the Goods passes to the Consumer when the Consumer, or a third party they designate other than the carrier, physically receives the Goods. If the Consumer independently chooses a carrier not offered by Fidly, risk passes when the Goods are handed to that carrier.

7.4. On receiving the shipment, the Buyer should check its external condition and the quantity of Goods. Any damage should be recorded in the delivery documents and photographs and reported to info@fidly.lt as soon as possible. Failure to do so does not remove the Consumer's statutory rights.

7.5. If a shipment is returned because the Buyer supplied an incorrect address or did not collect it, Fidly may require payment of reasonable redelivery costs. This does not apply where the Buyer lawfully withdraws from the contract or refuses delivery because of a breach by Fidly.

8. The Consumer's right to withdraw within 14 days

8.1. A Consumer may withdraw from a distance sales contract within 14 days without giving a reason.

8.2. For a one-time order, the period starts on the day the Consumer, or a third party they designate other than the carrier, receives the Goods. If several Goods in one order are delivered separately, the period starts when the last item is received. For a contract for regular delivery of Goods over a specified period, the period starts when the first item is received.

8.3. To withdraw, the Consumer must send a clear statement before the deadline:

• Using the electronic withdrawal function readily available in the Store;

• By email to info@fidly.lt; or

• By post to MB “Taykal”, Paplaujos g. 3, LT-11342 Vilnius, Lithuania.

The form in Annex 1 may be used, but is not mandatory. If a statement is submitted through the electronic withdrawal function, Fidly promptly confirms receipt on a durable medium.

8.4. The Consumer must send or hand over the Goods to MB “Taykal”, Paplaujos g. 3, LT-11342 Vilnius, Lithuania, within 14 days of notifying Fidly of withdrawal, unless Fidly gives different instructions in writing. The deadline is met if the Goods are sent before it expires.

8.5. The Consumer bears the direct cost of returning Goods of satisfactory quality unless Fidly agrees to pay it or did not properly inform the Consumer of this obligation.

8.6. Within 14 days of receiving the withdrawal notice, Fidly refunds the amounts paid for the returned Goods and the cost of the least expensive standard delivery offered by Fidly. Additional costs arising from a more expensive delivery method are not refunded. Fidly may withhold the refund until it receives the Goods or the Consumer provides proof of dispatch, whichever occurs first.

8.7. Refunds are made using the same payment method used by the Consumer, unless the Consumer expressly agrees to another method and incurs no additional costs as a result.

8.8. The Consumer is liable only for any reduction in the value of the Goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning. The absence of the original outer packaging does not itself remove the right to withdraw, but may be considered when assessing a reduction in value if the packaging is part of the Goods or necessary to protect them.

8.9. The right to withdraw does not apply in cases provided for by law, including:

• Goods that are liable to deteriorate or expire rapidly;

• Sealed Goods that have been unsealed after delivery and are genuinely unsuitable for return for health protection or hygiene reasons, for example where a protective seal on a product intended for consumption has been broken and its safety can no longer be assured;

• Goods made to the Buyer's specifications or clearly personalised;

• Other cases provided for in the Civil Code of the Republic of Lithuania.

8.10. The exceptions in clause 8.9 do not apply merely because the shipping box has been opened and do not remove rights relating to defective, unsafe or incorrectly supplied Goods.

9. Defective, damaged or incorrect Goods

9.1. Fidly is liable for any lack of conformity with the contract that existed at delivery and becomes apparent within the statutory period. Consumers may report defects within two years of receiving the Goods. This period does not extend the safe-use date shown on the Goods, and Fidly is not liable for normal changes in their characteristics after expiry.

9.2. If the Buyer notices a defect, damage or discrepancy, they should contact info@fidly.lt, stating the order number, the problem and the batch number where available, and attach any supporting evidence. Photographs help assess the situation more quickly, but not providing them does not itself remove the Consumer's rights.

9.3. The Consumer is initially entitled to choose repair or replacement free of charge unless the chosen remedy is impossible or would cause disproportionate costs. Given the nature of consumable Goods, repair may often be impossible, in which case replacement is offered.

9.4. The Consumer may request a proportionate price reduction or terminate the contract in the cases provided for by law, including where Fidly has not replaced the Goods, the defect recurs, is serious, or it is clear that conformity will not be restored within a reasonable time and without significant inconvenience. The contract cannot be terminated for a minor defect.

9.5. Fidly pays reasonable return and redelivery costs for defective, damaged or incorrect Goods.

10. Product safety and recalls

10.1. Fidly stores the Goods under the manufacturer's specified conditions, ensures traceability and cooperates with the competent authorities where safety concerns arise.

10.2. If Fidly receives information that Goods may be unsafe, it may suspend sales, contact Buyers who purchased them, instruct them to stop use, return or dispose of the Goods, and take other action provided for by law.

10.3. Please promptly report any suspected adverse reaction, damaged protective seal, unusual smell, colour or consistency, or other possible safety issue to info@fidly.lt, stating the product name and batch number.

11. Use of the Store and intellectual property

11.1. The Store's content, including text, design, photographs, graphics, trade marks and datasets, belongs to Fidly or is used lawfully.

11.2. The Store's content may not be copied, distributed, modified or used commercially without the rights holder's consent, except as permitted by law.

11.3. By submitting a review, photograph or other content, the Buyer confirms that they have the right to submit it and grants Fidly a non-exclusive, royalty-free right to display and technically adapt it in the Store and through Fidly's communication channels. Fidly may remove content that is unlawful, misleading, offensive, unrelated to the Goods or infringes third-party rights.

12. Liability and force majeure

12.1. The parties are liable for failure to perform or improper performance of their obligations in accordance with applicable law.

12.2. Fidly is not liable for damage to the extent that it results from use contrary to the label, recommended amounts, storage instructions or veterinary advice, use after expiry, or use for an animal species or category for which the Goods are not intended. This does not apply where damage results from a product defect, misleading information or other circumstances for which Fidly is legally liable.

12.3. Fidly does not exclude liability that cannot lawfully be limited, including liability for harm to health or life, intentional acts, gross negligence or breaches of consumers' mandatory rights.

12.4. A party is not liable for non-performance caused by force majeure circumstances reasonably beyond its control, to the extent and for as long as those circumstances prevent performance. The affected party must inform the other as soon as possible and take reasonable steps to minimise the consequences.

13. Complaints and dispute resolution

13.1. Requests and complaints may be submitted:

• By email to info@fidly.lt; or

• To MB “Taykal”, Paplaujos g. 3, LT-11342 Vilnius, Lithuania.

Please provide your name, contact details, order number, the circumstances and the specific remedy requested.

13.2. Consumer requests are considered free of charge. Fidly provides a detailed, reasoned written response within 14 calendar days of receiving a request, unless the law specifies another period.

13.4. The Terms and the contract are governed by the law of the Republic of Lithuania. Consumers also benefit from mandatory protections under the law of their country of habitual residence where applicable. Disputes are resolved by the competent court in accordance with the applicable jurisdiction rules.

14. Changes to the Terms

14.1. A one-time order is governed by the version of the Terms in force when it was placed. Later changes do not alter an existing one-time sales contract.

14.2. Fidly may update the Terms because of changes in law, operations, payments, delivery or other reasonable grounds. A new version applies to orders placed after its publication.

14.3. Material changes to an existing subscription are made in accordance with clause 6.11. Publishing a new version in the Store is not, by itself, sufficient notice of a change to the price or another essential term of an existing subscription.

15.1. The controller of your personal data is MB “Taykal”, legal entity code 305768697, Paplaujos g. 3, LT-11342 Vilnius, Lithuania. For privacy matters, email info@fidly.lt.

18.2. If the same data must be retained for several purposes, the longest reasonably applicable period applies. Once a particular purpose ends, the data is no longer used for that purpose.

19. Subscription and payment data

19.1. To operate a subscription, we retain the selected plan, Goods, delivery frequency, next expected payment date, delivery address and subscription status.

19.2. The payment provider creates a secure payment token or another identifier for recurring payments. Fidly uses it only to initiate payments permitted by the subscription terms and does not normally receive the full card number or CVV.

19.3. When a subscription is cancelled, the token is no longer used for new payments. Transaction and accounting data relating to payments already made may be retained for the statutory period.

19.4. Cancelling a subscription and opting out of marketing messages are separate actions. After cancellation, we may send necessary messages about the end of the subscription, the last payment, shipment or refund. Marketing messages can be opted out of separately under section 21.

20. Cookies and similar technologies

20.1. We use essential cookies needed for the cart, checkout, security, accounts and core Store functions. Without them, the Store may not work properly.

20.2. Analytics, personalisation and advertising cookies are set only with your consent where required. Refusing consent must not prevent you from buying Goods, except for functions for which the particular technology is objectively necessary.

20.3. You can change your cookie preferences at any time through the Store's cookie management tool. Withdrawing consent does not affect the lawfulness of processing carried out before withdrawal.

20.4. A more detailed list of cookies, their providers and durations is available in the cookie management window or a separate Cookie Policy, which should be read together with this Privacy Policy.

21. Direct marketing

21.1. We send newsletters and other advertising messages with your consent or, where permitted by law, to existing customers for our own similar Goods, provided a clear opportunity to object was offered when the contact details were collected.

21.2. Every electronic marketing message includes an easy, free way to opt out. You can also email info@fidly.lt at any time.

21.3. If you opt out of marketing, we may still send necessary messages about orders, subscriptions, safety, accounts and customer service.

21.4. We may retain a minimal opt-out record, such as your email address and the opt-out date, to demonstrate your choice and avoid sending further marketing.

22. Who we share personal data with

22.1. We share data only to the extent necessary with the following categories of recipients:

• Shopify International Limited and Shopify group companies — for Store hosting, orders, accounts, analytics, security and other platform functions;

• Payment service providers and financial institutions — for payments, refunds, fraud prevention and legal compliance;

• Couriers, parcel locker operators, warehousing and fulfilment partners — for delivery and returns;

• IT, cloud, email, customer service and cybersecurity providers;

• Analytics, advertising and social media partners, such as Google or Meta, only where the tools are actually used and we have the required consent or another legal basis;

• Auditors, accountants, lawyers, insurers and other professional advisers;

• Public authorities, courts and law enforcement where disclosure is required by a lawful request;

• A successor to the business or assets in a reorganisation, sale or similar transaction, with data protection safeguards.

22.2. We require service providers to process data only under contract, in accordance with our instructions and applicable law, except where they act as independent controllers, as certain payment service providers do.

23. Use of Shopify

23.1. The Store operates on Shopify. For core e-commerce services, MB “Taykal” normally acts as controller and Shopify acts as processor under our instructions.

23.2. When Shopify's enhanced services, including Shopify Network Intelligence, are used, Shopify may act as an independent controller for certain purposes and use data about interactions with Fidly, other Shopify merchants and Shopify services for analytics, service improvement, personalisation or advertising. Such non-essential functions are used for EEA users only with the necessary consent and an opportunity to withdraw it.

23.3. More information about Shopify's processing of consumer data and available choices: https://www.shopify.com/legal/privacy/consumers.

24. International data transfers

24.1. Some service providers or their infrastructure may be outside the European Economic Area, including in Canada and the United States.

24.2. We transfer data outside the EEA only where a lawful transfer mechanism applies, such as:

• A European Commission adequacy decision;

• European Commission standard contractual clauses and, where necessary, additional safeguards;

• Approved binding corporate rules;

• Another basis under Chapter V GDPR.

24.3. You can request information about the safeguards applicable to a particular transfer by emailing info@fidly.lt.

25. Data security

25.1. We apply reasonable technical and organisational measures, including access controls, authentication, connection encryption, backups, access reviews and confidentiality and security commitments from service providers.

25.2. No system for transmitting or storing data is completely secure. Please promptly report any suspected account or data security breach to info@fidly.lt.

25.3. The Buyer must keep account login details secure and must not disclose them to third parties.

26. Automated decisions and profiling

26.1. We may use browsing, purchase and pet-needs information to personalise product recommendations or advertising where we have the necessary legal basis.

26.2. We do not make decisions based solely on automated processing that produce legal or similarly significant effects on you, unless you have been separately informed and the GDPR safeguards apply.

27. Minors' data

27.1. The Store is not intended for independent use by people under 18. We do not knowingly collect children's data for marketing or profiling.

27.2. If you learn that a child has provided personal data to us without appropriate representative consent, please email info@fidly.lt. We will assess the circumstances and delete the data or take other lawful action.

28. Your rights

28.1. In the circumstances set out in the GDPR, you have the right to:

• Receive information about data processing;

• Access your personal data and receive a copy;

• Have inaccurate data corrected or incomplete data completed;

• Have data erased;

• Restrict processing;

• Object to processing based on legitimate interests;

• Object to direct marketing at any time;

• Receive the data you provided in a structured, commonly used, machine-readable format and, where technically possible, transfer it to another controller;

• Withdraw consent at any time, without affecting the lawfulness of processing before withdrawal;

• Not be subject to a significant decision based solely on automated processing, where applicable;

• Complain to a supervisory authority.

28.2. You can submit a request by email to info@fidly.lt or by post to MB “Taykal”, Paplaujos g. 3, LT-11342 Vilnius, Lithuania.

28.3. Before fulfilling a request, we may ask for information needed to verify your identity. We will respond without undue delay and within one month. Depending on the complexity or number of requests, this period may be extended by a further two months, and we will notify you within the first month.

28.4. Rights are exercised free of charge, except for manifestly unfounded, repetitive or excessive requests where the GDPR permits a charge.

29. Personal data complaints

29.1. If you have questions or believe we are handling data incorrectly, please contact info@fidly.lt first.

29.2. You may also complain to the State Data Protection Inspectorate, L. Sapiegos g. 17, LT-10312 Vilnius, email ada@ada.lt, website https://vdai.lrv.lt. You may also contact the supervisory authority in another EEA country where you live or work, or where an alleged infringement occurred.

30. Third-party links

30.1. The Store may contain links to third-party websites or services. Their privacy practices are governed by their own policies, which you should read before providing data.

31. Changes to this Privacy Policy

31.1. We may update this Privacy Policy because of operational, technological or legal changes. We will publish the current version in the Store with its update date.

31.2. We will inform you appropriately of material changes that significantly affect your rights or reasonable expectations, for example by email or a clear notice in the Store. Where new processing requires consent, we will request it separately.
